Transportal Online Translation Management System Terms of Use (Revised Draft) These Terms set out the conditions and procedures for using the online translation management system (the “System”) provided by Transportal (the “Company”), the rights, obligations and responsibilities of the Company and users, and other necessary matters. Chapter 1. General Provisions Article 1. Purpose These Terms aim to protect the rights and interests of both parties by defining the rights, obligations and responsibilities of the Company and users in connection with use of the System. Article 2. Definitions 1. “User” means a person who accesses the System and is permitted by the Company to use it under these Terms. 2. “Non-applicant (non-member)” means a person who uses some functions of the System without registering as an applicant. 3. “Applicant (member)” means a person who has provided personal information, completed applicant registration and may use the services provided by the System. 4. “Job applicant” means an applicant who uses the System with a user number (ID) issued by the Company. 5. “Identification ID” means an account, consisting of an email address or similar information selected by the applicant and approved by the Company, used to identify the applicant and access the System. 6. “Password” means a combination of letters, numbers or other characters set by the applicant to verify that the person is the holder of the assigned identification ID and to protect confidentiality. 7. “Personal information” means personal information as defined by applicable law. 8. “Submitted documents” means materials provided by the user to the Company during application and service use, including résumés, evidence of experience or education, qualifications, identity documents and payment account information. 9. “Translation assessment materials” means translations, answers and assessment results submitted or produced during a translation skills assessment, including an online test. 10. “Posts” means all information posted, registered or uploaded to the System by users, including text, documents, images, files, links and comments. 11. “System” means the online translation management and translator recruitment, application and contract services provided by the Company at https://transportal.kr and other addresses. These include résumé registration, online translation skills tests and assessment, online contracts, document uploads, reporting translation-fee payment accounts, quality monitoring and rate agreements. Article 3. Application and Interpretation of the Terms 1. These Terms apply to use of the System. Matters not covered by these Terms are governed by applicable law and the Company's operating policies and guidelines. 2. If any provision conflicts with a mandatory provision of applicable law, that provision is invalid to the extent of the conflict. The remaining provisions remain valid. Article 4. Effect and Amendment of the Terms 1. These Terms take effect when posted on the System during applicant registration or announced by other means. Users may agree to the Terms by selecting an “Agree” button or another electronic method designated by the Company. 2. The Company may amend these Terms within the limits of applicable law. It will state the effective date and reasons for amendment and announce the changes through System notices or other means at least 7 days before they take effect, or at least 14 days before they take effect if they are disadvantageous to users or otherwise material. 3. Users who do not agree to the amended Terms may request termination of their service agreement (membership withdrawal) or withdrawal of their application (discontinuation of the application process) before the effective date. 4. If the Company announces amended Terms in accordance with paragraph 2 and a user continues to use the System after the effective date, the user is deemed to have agreed to the amended Terms. 5. Where the law requires individual notification and consent, the Company will follow those procedures. Article 5. Publication of the Terms The Company publishes these Terms on the System's terms-of-use page and in notices so that users can review them. Amendments are announced as provided in Article 4. Article 6. Notices 1. The Company may notify users through System notices, email, SMS or other methods it designates. 2. If notification is not possible because the contact information registered by a user is inaccurate, the Company is deemed to have fulfilled its notification obligation by properly sending or posting the notice, except where the user is not at fault through intent or negligence. Chapter 2. Formation of the Service Agreement Article 7. Formation of the Agreement A person wishing to use the System forms a service agreement by applying for applicant registration in accordance with the Company's procedures and agreeing to these Terms. Article 8. Requests to Use the System and Applications 1. Applicants must accurately complete the required fields in the online application form provided by the Company. 2. The Company collects the minimum personal information necessary to provide its services and distinguishes required fields from optional fields. 3. Use of the service may be restricted if an applicant provides false information or another person's information. The applicant bears any resulting disadvantage. Article 9. Protection of Personal Information 1. The Company complies with applicable law. Processing of personal information is governed by a separate privacy policy and relevant consent forms. 2. The Company processes personal information within the scope of its intended purpose and does not use it for other purposes or disclose it to third parties without consent, except where there is a legal basis or another applicable exception. 3. Users may request access, correction, deletion, suspension of processing or withdrawal of consent to the extent guaranteed by applicable law. The Company handles such requests under the procedures in its privacy policy. Article 10. Acceptance of Applications 1. The Company accepts applications to use the System in the order received. It may defer acceptance if facilities are insufficient, there are technical difficulties, or other unavoidable circumstances arise. 2. The Company may reject an application or subsequently restrict use in any of the following cases: 1) The applicant does not use their real name or uses another person's name. 2) The application contains false information, omissions or errors. 3) Providing the service is difficult under applicable law or Company policy. 4) There is a risk of harm to public order or accepted standards of public decency. 5) The applicant does not meet other application requirements set by the Company. 3. The Company will notify the applicant without delay if acceptance is deferred or refused. Article 11. Accounts and Changes to Information 1. Applicants may view their information and selection status in the System. 2. Applicants must promptly update changed information through the System or notify the Company. Applicants bear losses arising from failure to notify the Company. 3. Users are responsible for managing their identification IDs and passwords and must notify the Company immediately upon becoming aware of unauthorized use. Chapter 3. Obligations of the Parties Article 12. Obligations of the Company 1. The Company will make every effort to provide stable services and to restore facilities without delay in the event of a failure. It may temporarily suspend service due to natural disasters or other force majeure events. 2. The Company will promptly address legitimate user feedback and complaints. If handling is delayed, it will explain the reason and expected schedule. 3. The Company complies with applicable law. Article 13. Obligations of Users Users must comply with the following: 1. Follow the Terms, notices, service instructions and other information announced by the Company. 2. Keep account information (identification ID and password) secure and do not transfer or lend it to third parties. 3. Immediately report suspected unauthorized account use and follow the Company's instructions. 4. Do not use the System for business activities without the Company's prior consent. 5. Do not violate applicable law or interfere with service operations, including through spam or malware distribution. Chapter 4. Use of the Services Article 14. Information and Advertising Messages 1. The Company may provide notices and information necessary for service use by email, SMS or other means. 2. Advertising messages are sent only to users who have consented in advance in accordance with applicable law. Users may opt out or withdraw consent at any time. Article 15. Management of Posts 1. The Company may delete or move content, refuse registration, restrict use or take other measures without prior notice if user-posted content falls into any of the following categories: 1) Content that disparages or defames another person. 2) Pornography, vulgar expressions or other content contrary to public order or accepted standards of public decency. 3) Content associated with crime or in violation of applicable law. 4) Content that infringes the intellectual property or other rights of the Company or a third party. 5) Content that interferes with normal service operations. 2. Identifying information associated with posts, including IP addresses, is generally kept private except where disclosure is provided for by law. Article 16. Copyright and Licenses 1. Copyright and intellectual property rights in works created by the Company belong to the Company. 2. Copyright in works posted or submitted by users belongs to the respective copyright holders. 3. Users must not use information obtained from the System for commercial purposes, or allow third parties to do so, without the Company's prior consent. 4. The Company may use works posted or submitted by users on a non-exclusive basis to the extent necessary for operating the System, reviewing and assessing applications, quality control, responding to disputes and providing services. 5. As a general rule, the Company uses translation assessment materials, including test translations, only for review and assessment. It obtains separate consent before using them for promotional or commercial purposes, except where a statutory exception applies or the user has separately consented. 6. The Company does not disclose users' personal information to third parties without separate consent, except where there is a legal basis or another applicable exception. Article 17. Service Hours and Changes 1. In principle, the service is available 24 hours a day, year-round, unless there are particular operational or technical impediments. 2. Where scheduled maintenance, System improvements or service changes are needed, the Company may restrict service after giving advance notice, or notice afterwards in an emergency. Article 18. Restrictions and Suspension The Company may temporarily suspend or restrict service due to maintenance, inspection, replacement or failure of telecommunications facilities, communication interruptions, national emergencies, power outages, excessive demand or other force majeure events. It will announce the reason and duration without delay. Chapter 5. Withdrawal of Applications, Termination and Restrictions Article 19. Application Withdrawal and Termination of the Service Agreement 1. Applicants may request withdrawal of their application or termination of their service agreement (membership withdrawal) through the System at any time. 2. Upon termination, the Company handles users' personal information and submitted materials in accordance with applicable law and the privacy policy, by deleting or destroying them, or retaining them before destruction. 3. Where there are legitimate grounds, such as legal compliance, dispute response, settlement or accounting, the Company may retain some information for a certain period to the extent necessary. The criteria and periods are set out in the privacy policy. Article 20. Restrictions and Termination 1. The Company may terminate the service agreement or restrict use after prior notice if a user: 1) Misappropriates another person's personal information, ID or password. 2) Creates multiple IDs and registers more than once. 3) Defames another person or infringes intellectual property rights. 4) Distributes information harmful to public order or accepted standards of public decency. 5) Interferes with service operations intentionally or through gross negligence. 2. Where possible, the Company may give the user an opportunity to explain their position. 3. A user's eligibility ends upon their death. Article 21. Return and Destruction of Recruitment / Application Documents 1. The Company follows applicable law where it governs the retention, return or destruction of submitted documents. 2. Where recruitment documents submitted offline in paper form are eligible for return, the Company returns them upon request under the procedures required by applicable law. 3. When the period for requesting return has expired or documents are not returned, the Company destroys them in accordance with applicable law and the privacy policy. 4. Whether electronically submitted materials can be returned, and the procedures for deletion and destruction, are governed by the privacy policy and System instructions. Chapter 6. Damages and Disclaimers Article 22. Damages 1. A user who breaches these Terms and causes damage to the Company must compensate the Company for that damage. 2. If the Company breaches these Terms or applicable law and causes damage to a user, it is responsible for compensating the user. The scope of liability, types of damage and causation are determined by applicable law and general legal principles. Article 23. Disclaimers 1. The Company is not liable where it cannot provide service due to force majeure, including natural disasters, war, terrorism, fire, power outages, enactment or amendment of laws, or suspension of service by a telecommunications carrier. 2. The Company is not liable for service disruptions attributable to the user. 3. The Company is not liable for loss of profits or other benefits the user expected to obtain through the service. 4. The Company is not liable for the content of information or materials posted or transmitted by users. 5. The disclaimers in this Article do not apply where the Company acts intentionally or with gross negligence. Chapter 7. Other Provisions Article 24. Protection of Users To protect users' rights and interests, the Company displays its identifying information on the System or website, including its business name, representative's name, business address, contact details and business registration number. Article 25. Dispute Resolution and Jurisdiction 1. The Company gives priority to handling users' complaints and feedback. If prompt handling is difficult, it will explain the reason and schedule. 2. The Company and users will make all necessary efforts to resolve service-related disputes amicably. 3. If a dispute leads to litigation, jurisdiction is determined in accordance with the Civil Procedure Act and other applicable laws. Supplementary Provisions Article 1. Effective Date: These Terms take effect on 1 May 2012. Article 2. Copyright: Copyright in these Terms belongs to the Company.
